End User License Agreement

1. License grant

Subject to your compliance with this EULA and payment of applicable subscription fees, CADABRA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Install and use the CADABRA plugin on one (1) SOLIDWORKS workstation per paid seat;
• Access the CADABRA dashboard and AI services through your account;
• Use the Software solely for your internal business or personal design purposes.

This license does not transfer any ownership rights. CADABRA retains all rights not expressly granted.

2. Restrictions

You may not, and may not permit others to:

• Copy, modify, adapt, translate, or create derivative works of the Software;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
• Sell, sublicense, rent, lease, transfer, or otherwise distribute the Software to any third party;
• Remove or alter any proprietary notices, labels, or marks on the Software;
• Use the Software to build a competing product or service;
• Use the Software in any manner that violates applicable law or these terms;
• Share account credentials with any other person or entity.

3. Subscription and payment

Access to CADABRA requires an active subscription. By subscribing you authorize CADABRA to charge your payment method on a recurring monthly or annual basis at the rate applicable to your selected plan, as shown on our pricing page.

• Subscriptions renew automatically at the end of each billing period unless cancelled.
• All fees are non-refundable except as required by applicable law or as set out in our Terms and Conditions.
• CADABRA reserves the right to change pricing with 30 days' notice to your registered email address.
• Failure to pay may result in immediate suspension or termination of access.

4. Cancellation and termination

You may cancel your subscription at any time from your account dashboard. Cancellations take effect at the end of the current billing period. You will retain access to the Software until that date.

CADABRA may terminate or suspend your license immediately and without notice if you breach any provision of this EULA. Upon termination:

• Your right to use the Software ceases immediately;
• You must uninstall the plugin from all workstations;
• Any outstanding fees remain due and payable.

5. Your CAD data

You retain full ownership of all CAD files, models, drawings, and designs you create or process using the Software ("Your Data").

By using the Software, you grant CADABRA a license to process Your Data as set out below. The scope of that license depends on your plan:

• Student and Professional plans: CAD geometry, prompts, and metadata submitted through the Software are transmitted to and processed by CADABRA's AI infrastructure. This data may be used to operate, maintain, and improve the Software and its AI models. CADABRA does not sell Your Data to third parties.
• Enterprise plans: CADABRA does not access, view, or retain any CAD data, prompts, or outputs generated under an Enterprise agreement. Enterprise deployments operate under a strict data isolation model. Where on-premises deployment is configured, no data leaves your network. Where cloud infrastructure is used, data is processed ephemerally and is not retained, logged, or used for any purpose beyond generating your requested output. CADABRA personnel do not have access to Enterprise customer data.

6. AI output and your responsibility

The Software uses artificial intelligence to generate CAD operations, drawings, BOM entries, and other outputs. You acknowledge and agree that:

• AI-generated output may contain errors, inaccuracies, or omissions;
• You are solely responsible for reviewing, validating, and approving any AI-generated output before use in engineering, manufacturing, or any other context;
• CADABRA makes no warranty that AI output is accurate, complete, fit for any engineering purpose, or compliant with any standard or regulation;
• CADABRA is not liable for any loss, damage, injury, or cost arising from your reliance on AI-generated output without independent verification.

7. SOLIDWORKS compatibility

CADABRA is an independent software product and is not affiliated with, endorsed by, or sponsored by Dassault Systemes or SolidWorks Corp. SOLIDWORKS is a registered trademark of Dassault Systemes SolidWorks Corporation.

You are responsible for holding a valid, properly licensed copy of SOLIDWORKS. CADABRA does not provide or sublicense SOLIDWORKS. CADABRA is not responsible for any conflict, incompatibility, or issue arising from your SOLIDWORKS installation or version.

8. Updates and modifications

CADABRA may release updates, patches, or new versions of the Software from time to time. Updates may be applied automatically. CADABRA reserves the right to add, modify, or remove features at any time. Continued use of the Software after an update constitutes acceptance of any changes.

CADABRA may also update this EULA. We will notify you of material changes by email or by displaying a notice in the dashboard. Your continued use of the Software after the effective date of an updated EULA constitutes your acceptance of the new terms.

9. Intellectual property

The Software, including all code, algorithms, interfaces, designs, trademarks, and documentation, is owned by CADABRA and protected by intellectual property laws. Nothing in this EULA transfers any IP rights to you. You may not use CADABRA's name, logo, or trademarks without prior written consent.

10. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CADABRA DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CADABRA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR CAD FILES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF CADABRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CADABRA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CADABRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless CADABRA and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Software; (b) your violation of this EULA; (c) your violation of any third-party rights; or (d) your CAD data or any output generated therefrom.

13. Governing law

This EULA is governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising under this EULA shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.

If you are located outside the United States, you agree that your use of the Software is subject to US law and that any dispute will be resolved in the United States as described above.
